Memorandum of Understanding

1. PURPOSE OF PARTNERSHIP:
   The investor and company agree to explore a business partnership. The goal is to fund and operate additional trucks to expand the company’s haulage fleet and increase revenue.
2. INVESTOR'S RESPONSIBILITY:
   The investor agrees to:
   1. Provide financial capital in the sum of for the purpose of
   2. Allow the company to exclusively manage daily operations, maintenance, and driver staffing.
3. COMPANY'S RESPONSIBILITY:
   The company agrees to:
   1. Source, purchase, and register the trucks.
   2. Maintain the vehicle in good working condition.
   3. Secure haulage contracts and manage daily logistical operations effectively.
4. INVESTMENT RETURNS AND PROFIT:
   1. The investor agrees to receive 4% of investment capital monthly as investment profit.
   2. The company agrees to pay 4% of investment capital monthly to the investor as capital profit.
   3. Both parties agree on a 4% fixed profit return from the company to the investor monthly.
5. INVESTMENT SECURITY:
   1. Vehicle titles are to be in the investor's name and custody.
   2. A comprehensive insurance cover will be activated on the vehicle.
   3. Both parties agree that upon satisfactory returns of investment profit monthly.
6. CONFIDENTIALITY:
   Both parties agree to keep all financial operations and trade data secret; neither party will share this information with competitors.
7. TERMS AND TERMINATION:
   1. This MOU shall remain in effect for as long as the truck remains with the company.
   2. The company has 3 grace periods. The investor can terminate this contract only if the company defaults in returning investment profits to the investor for the 3rd time in total.
8. LEGAL EFFECT:
   The MOU is a statement of mutual intent; it is not a legally binding contract, except for the confidentiality clause (Section 6), which is binding on both parties.

In witness thereof, the parties have signed this MOU as of the date written above.
